Welcome to WeGlobal. These Terms of Use (“Terms”) govern your access to and use of the WeGlobal B2B marketplace platform, including all associated websites, applications, and services (collectively, the “Platform”), operated by WeGlobal Inc. (“WeGlobal,” “we,” “us,” or “our”).

By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use the Platform.

1. Eligibility

The Platform is intended for business use. By using the Platform, you represent and warrant that:

When using the Platform, you agree not to:

Engage in any activity that could damage, disable, or impair the Platform.
Attempt to gain unauthorized access to other accounts, systems, or networks.
Use automated tools (bots, scrapers) to collect data from the Platform without prior written authorization.
Distribute spam, unsolicited communications, or harmful content.
Circumvent or manipulate any fees, billing, or payment processes.

4. Marketplace Transactions

WeGlobal serves as a marketplace platform connecting buyers and sellers. Regarding transactions:

Role of WeGlobal

WeGlobal facilitates connections between buyers and sellers but is not a party to any transaction between them. We do not own, manufacture, or sell any products listed on the Platform.

Buyer and Seller Responsibility

Buyers and sellers are solely responsible for the terms of their transactions, including product quality, pricing, shipping, payment, and returns. WeGlobal is not liable for disputes between buyers and sellers.

Product Listings

Sellers are responsible for ensuring that product listings are accurate, complete, and comply with all applicable laws. WeGlobal reserves the right to remove listings that violate these Terms or applicable regulations.

5. Intellectual Property

All content, features, and functionality of the Platform — including the design, text, graphics, logos, icons, and software — are the property of WeGlobal or its licensors and are protected by intellectual property laws.

You may not reproduce, distribute, modify, create derivative works of, publicly display, or exploit any content from the Platform without prior written permission from WeGlobal.

By uploading content to the Platform (such as product listings, images, or descriptions), you grant WeGlobal a non-exclusive, worldwide, royalty-free license to use, display, and distribute that content in connection with the operation of the Platform.

6. Limitation of Liability

To the maximum extent permitted by applicable law:

The Platform is provided on an “as is” and “as available” basis without warranties of any kind, whether express or implied.
WeGlobal does not guarantee that the Platform will be uninterrupted, error-free, or free of harmful components.
WeGlobal shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform.
WeGlobal's total liability for any claim arising from these Terms shall not exceed the amount you have paid to WeGlobal in the twelve (12) months preceding the claim.

7. Indemnification

You agree to indemnify, defend, and hold harmless WeGlobal, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising out of:

Your use of the Platform.
Your violation of these Terms.
Your violation of any rights of a third party, including intellectual property rights.
Any content or information you submit through the Platform.

8. Termination

We may suspend or terminate your access to the Platform at any time, with or without notice, for any reason, including but not limited to:

Violation of these Terms.
Fraudulent or illegal activity.
Extended inactivity.
Request by law enforcement or government agencies.

Upon termination, your right to access and use the Platform will immediately cease. Provisions of these Terms that by their nature should survive termination shall continue to apply.

9. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Kingdom of Thailand, without regard to conflict of law principles.

Any disputes arising from these Terms shall be resolved through good-faith negotiation. If negotiation fails, disputes shall be submitted to the courts of Thailand.

10. Changes to These Terms

We may update these Terms from time to time. When material changes are made, we will update the “Last Updated” date and may notify users through the Platform.

Continued use of the Platform after any changes constitutes acceptance of the updated Terms.
